1. Introduction
These Terms of Service (“Terms”) govern access to and use of the KeynoBite platform ecosystem, including all related websites, software systems, operational interfaces, APIs, mobile applications, onboarding systems, merchant portals, and associated digital services.
KeynoBite is a restaurant commerce and operational technology platform operated by Keynoverse FZC.
By accessing, registering for, onboarding onto, or using the KeynoBite platform, you acknowledge and agree to be bound by these Terms and all related platform policies referenced herein.
If you do not agree with these Terms, you should not access or use the platform.
2. Nature of the Platform
KeynoBite provides software infrastructure and operational enablement systems designed to support restaurant commerce workflows.
The platform may include:
- online ordering systems,
- QR ordering,
- operational dashboards,
- merchant onboarding tools,
- cloud POS systems,
- customer engagement workflows,
- delivery enablement features,
- operational integrations,
- analytics,
- and related SaaS services.
KeynoBite operates solely as:
- a SaaS platform provider,
- operational infrastructure provider,
- workflow enablement system,
- and technology integration layer.
KeynoBite itself does not operate as:
- a restaurant,
- food seller,
- logistics company,
- payment service provider (PSP),
- financial institution,
- marketplace settlement intermediary,
- or wallet operator.
Restaurants/vendors using the platform remain independent business entities responsible for their own operations and customer transactions.
3. Eligibility
By using the platform, you represent that:
- you are legally capable of entering into binding agreements,
- your use of the platform is lawful,
- and all information submitted is accurate and not misleading.
Business users and merchants may additionally be required to provide:
- trade license information,
- identification documents,
- operational records,
- compliance documentation,
- or additional verification materials.
4. User Accounts
Access to certain features may require account registration.
Users are responsible for:
- maintaining accurate account information,
- safeguarding login credentials,
- preventing unauthorized access,
- and all activities conducted through their accounts.
KeynoBite reserves the right to suspend or terminate accounts where:
- false information is provided,
- misuse occurs,
- security risks arise,
- or platform policies are violated.
5. Restaurant & Merchant Relationships
Restaurants/vendors onboarded onto the platform remain solely responsible for:
- their products and services,
- menu pricing,
- order fulfillment,
- delivery operations,
- customer support,
- refunds,
- tax obligations,
- and operational compliance.
Customer transactions relating to restaurant/vendor products remain transactions directly between:
- the customer,
- and
- the respective restaurant/vendor.
KeynoBite does not assume responsibility for merchant operational conduct or food-related obligations.
6. Payment Processing Clarification
Where payment functionality is enabled:
- payment processing is handled through licensed third-party payment service providers (PSPs),
- merchants/vendors may maintain independent PSP relationships,
- and settlement occurs directly between the PSP and the respective merchant/vendor.
KeynoBite itself does not:
- process settlements,
- custody merchant funds,
- operate wallets,
- pool merchant balances,
- or act as a payment intermediary for merchant transactions.
Separately, KeynoBite may independently charge subscription or SaaS-related fees for its own software services.
7. SaaS Services & Subscriptions
Certain platform features may require:
- subscription activation,
- onboarding fees,
- operational licensing,
- enterprise agreements,
- or recurring service access.
Subscription services remain subject to:
- applicable pricing,
- onboarding terms,
- operational policies,
- and the SaaS Subscription & Billing Policy.
At present, subscription renewals are manually initiated by the customer or merchant unless otherwise agreed separately.
8. Acceptable Use
Users may not use the platform for:
- unlawful conduct,
- fraudulent activity,
- operational abuse,
- payment misuse,
- unauthorized access,
- deceptive practices,
- or activities prohibited under applicable law.
Additional restrictions and usage requirements are governed by the KeynoBite Acceptable Use Policy.
9. Operational Availability
While KeynoBite aims to provide reliable platform availability, uninterrupted access is not guaranteed.
KeynoBite may:
- update systems,
- modify features,
- perform maintenance,
- suspend functionality,
- or change operational workflows
where reasonably necessary for operational, security, legal, or technical reasons.
10. Third-Party Services & Integrations
The platform may integrate with third-party providers including:
- payment service providers,
- logistics systems,
- analytics platforms,
- cloud infrastructure providers,
- communication services,
- or operational integrations.
KeynoBite is not responsible for:
- third-party operational failures,
- PSP decisions,
- external outages,
- or independent third-party conduct.
Users remain subject to the terms and policies of applicable third-party providers.
11. Intellectual Property
All platform software, systems, branding, operational workflows, content, interfaces, and intellectual property associated with KeynoBite remain the property of KeynoBite or its licensors.
Users may not:
- reproduce,
- copy,
- modify,
- distribute,
- reverse engineer,
- or commercially exploit
the platform or its systems without authorization.
12. Privacy & Data Protection
Use of the platform remains subject to the KeynoBite Privacy Policy and related operational policies.
KeynoBite may process operational information for purposes including:
- platform functionality,
- fraud prevention,
- operational integrity,
- onboarding verification,
- customer support,
- and lawful compliance obligations.
13. Fraud Prevention & Security
KeynoBite reserves the right to:
- monitor operational activity,
- investigate suspicious conduct,
- request additional verification,
- restrict platform access,
- suspend accounts,
- or take protective operational measures
where fraud, abuse, security risks, or policy violations are identified.
Additional security practices are governed by the applicable platform security and fraud prevention policies.
14. Suspension & Termination
KeynoBite may suspend or terminate access where:
- platform misuse occurs,
- unlawful activity is identified,
- compliance concerns arise,
- operational risks are detected,
- or these Terms are violated.
Users may discontinue platform usage subject to applicable contractual obligations, subscription arrangements, or onboarding agreements.
15. Disclaimers
The platform is provided on an “as available” and “as is” basis.
To the maximum extent permitted by applicable law, KeynoBite makes no guarantee regarding:
- uninterrupted platform availability,
- merchant operational conduct,
- delivery performance,
- third-party services,
- payment provider operations,
- or business outcomes arising from platform usage.
Restaurants/vendors remain solely responsible for their own products, operations, and customer interactions.
16. Limitation of Liability
To the maximum extent permitted by applicable law, KeynoBite shall not be liable for:
- indirect losses,
- operational interruptions,
- merchant business losses,
- delivery disputes,
- payment provider actions,
- third-party operational failures,
- customer disputes,
- or consequential damages arising from platform usage.
Users acknowledge that operational, technical, and third-party risks are inherent in digital platform environments.
17. Indemnification
Users agree to indemnify and hold harmless KeynoBite, its operators, affiliates, officers, employees, and representatives from claims arising out of:
- unlawful conduct,
- policy violations,
- misuse of the platform,
- operational disputes,
- merchant activities,
- or breaches of these Terms.
18. Governing Law
These Terms shall be governed in accordance with the applicable laws and regulations governing the jurisdiction in which Keynoverse FZC operates, unless otherwise required by applicable law.
19. Changes to These Terms
KeynoBite may update these Terms periodically to reflect:
- operational changes,
- platform enhancements,
- legal developments,
- compliance requirements,
- or infrastructure updates.
Continued use of the platform constitutes acceptance of the revised Terms.
