1. Introduction
These Restaurant Partner Terms & Conditions (“Agreement”) govern the access to and use of the KeynoBite platform by restaurants, cafés, cloud kitchens, food businesses, retail food operators, and related merchant entities (“Restaurant Partner” or “Merchant”).
By registering, onboarding, configuring services, or using the KeynoBite platform, you agree to be bound by this Agreement.
2. Nature of the Platform
KeynoBite is a restaurant commerce, operational workflow, and SaaS infrastructure platform.
KeynoBite provides technology tools enabling Restaurant Partners to:
- manage menus and pricing,
- receive customer orders,
- manage dine-in operations,
- coordinate pickup and delivery workflows,
- access operational dashboards,
- manage customer engagement,
- integrate independent payment solutions,
- and operate digital commerce workflows.
KeynoBite acts solely as:
- SaaS platform provider,
- operational infrastructure provider,
- workflow enablement system,
- and technology integration layer.
KeynoBite is not:
- the seller of food products,
- a restaurant operator,
- a logistics operator,
- a payment processor,
- a payment intermediary,
- a wallet operator,
- or a marketplace settlement provider.
3. Independent Merchant Status
Each Restaurant Partner operates as an independent business entity.
Restaurant Partners remain solely responsible for:
- their products,
- food quality,
- pricing,
- operations,
- customer interactions,
- fulfillment,
- staff management,
- tax obligations,
- and legal compliance.
Nothing within this Agreement creates:
- an agency relationship,
- employment relationship,
- joint venture,
- franchise relationship,
- or partnership
between KeynoBite and the Restaurant Partner.
4. Merchant Onboarding & Compliance
Restaurant Partners may be required to provide:
- valid trade licenses,
- identification documents,
- banking information,
- compliance documentation,
- tax registration information,
- and operational verification details.
Restaurant Partners are responsible for ensuring all submitted information remains accurate, current, and lawful.
KeynoBite reserves the right to:
- review merchant information,
- request updated documentation,
- restrict access,
- suspend services,
- or terminate accounts
where compliance, fraud, security, or operational concerns arise.
5. Orders & Customer Transactions
All customer orders processed through the Restaurant Partner’s storefront, QR ordering system, website, mobile application, or operational workflow remain transactions directly between:
- the customer,
- and
- the respective Restaurant Partner.
The Restaurant Partner remains solely responsible for:
- accepting orders,
- preparing products,
- order accuracy,
- fulfillment,
- cancellations,
- refunds relating to merchant operations,
- customer support,
- and operational delivery performance.
Restaurants may accept, reject, modify, or cancel orders based on operational availability and business requirements.
6. Payment Processing & Settlement
KeynoBite does not process, hold, custody, intermediate, pool, or settle customer transaction funds on behalf of Restaurant Partners.
Where payment functionality is enabled:
- Restaurant Partners maintain their own independent relationship with licensed payment service providers (PSPs),
- Restaurant Partners undergo direct PSP onboarding and compliance/KYC verification,
- Restaurant Partners utilize their own PSP-issued credentials and merchant accounts,
- and transaction settlement occurs directly between the PSP and the Restaurant Partner’s designated bank account.
KeynoBite acts solely as:
- software infrastructure,
- operational workflow layer,
- technology integration layer,
- and merchant enablement platform.
KeynoBite does not:
- aggregate merchant funds,
- operate a marketplace wallet system,
- reroute settlements,
- act as merchant-of-record for restaurant transactions,
- or provide regulated financial services.
Separately, KeynoBite may independently charge Restaurant Partners subscription fees, SaaS licensing fees, onboarding fees, enterprise software fees, or related platform service charges for access to KeynoBite’s own services.
7. Merchant Pricing & Fees
Restaurant Partners independently determine:
- menu pricing,
- taxes,
- discounts,
- offers,
- delivery charges,
- and customer-facing commercial terms.
KeynoBite does not impose mandatory marketplace markups on merchant products.
Applicable fees relating to:
- SaaS subscriptions,
- operational modules,
- enterprise services,
- integrations,
- onboarding,
- or optional platform features
will be communicated separately during onboarding or through merchant agreements.
8. Delivery & Fulfillment
Restaurant Partners remain fully responsible for their own fulfillment operations.
Restaurants may choose to:
- manage deliveries internally,
- utilize independent riders/drivers,
- engage third-party logistics providers,
- or provide customer pickup services.
KeynoBite may provide operational delivery-related software tools strictly as workflow enablement functionality.
KeynoBite itself does not:
- operate a delivery fleet,
- employ delivery riders,
- guarantee delivery timelines,
- or manage logistics operations.
Delivery operations remain solely under the responsibility and control of the Restaurant Partner.
9. Acceptable Platform Usage
Restaurant Partners agree not to:
- engage in fraudulent activity,
- misrepresent products or pricing,
- manipulate transactions,
- misuse platform systems,
- violate applicable laws,
- infringe intellectual property rights,
- or compromise platform security.
KeynoBite reserves the right to monitor platform activity for operational integrity, fraud prevention, security, and compliance purposes.
10. Taxes & Regulatory Compliance
Restaurant Partners remain solely responsible for:
- VAT obligations,
- tax filings,
- regulatory approvals,
- food safety compliance,
- labor compliance,
- operational licensing,
- and all other legal obligations applicable to their business activities.
KeynoBite does not provide legal, financial, or tax advisory services.
11. Suspension & Termination
KeynoBite may suspend, restrict, or terminate access to the platform where:
- these Terms are violated,
- compliance risks arise,
- fraudulent activity is identified,
- operational misuse occurs,
- or platform integrity is compromised.
Restaurant Partners may discontinue use of the platform at any time subject to applicable contractual obligations.
12. Limitation of Liability
To the maximum extent permitted by applicable law, KeynoBite shall not be liable for:
- food quality issues,
- merchant operational failures,
- customer disputes,
- delivery delays,
- financial losses,
- indirect damages,
- or third-party operational conduct.
The Restaurant Partner remains the primary service provider to the customer.
13. Changes to Terms
KeynoBite may update these Terms periodically.
Continued use of the platform following updates constitutes acceptance of the revised Terms.
