1. Introduction

This Acceptable Use Policy (“Policy”) governs the lawful and acceptable use of the KeynoBite platform ecosystem.

KeynoBite is a restaurant commerce and operational technology platform operated by Keynoverse FZC.

This Policy applies to:

  • customers,
  • restaurant partners,
  • vendors,
  • merchants,
  • operational users,
  • integrations,
  • developers,
  • and all individuals or entities accessing or using the KeynoBite platform.

By accessing or using the platform, users acknowledge and agree to comply with this Policy.


2. Nature of the Platform

KeynoBite provides:

  • SaaS infrastructure,
  • restaurant commerce workflows,
  • operational management systems,
  • ordering functionality,
  • QR ordering systems,
  • merchant enablement tools,
  • and operational integrations.

KeynoBite itself does not operate as:

  • a payment service provider (PSP),
  • financial institution,
  • logistics operator,
  • or marketplace settlement intermediary.

Restaurants/vendors using the platform operate independently and remain solely responsible for their own operational activities and customer transactions.


3. Lawful Use Requirement

Users may only use the platform for lawful and authorized purposes.

Users must comply with:

  • applicable local laws,
  • regulatory obligations,
  • intellectual property rights,
  • payment provider requirements,
  • and platform operational policies.

Any unlawful, abusive, deceptive, or harmful activity is strictly prohibited.


4. Prohibited Activities

Users may not use the platform to engage in activities including, but not limited to:

  • fraud,
  • money laundering,
  • deceptive transactions,
  • sanctions violations,
  • illegal commerce,
  • unauthorized financial services,
  • phishing,
  • hacking,
  • malware distribution,
  • identity theft,
  • unauthorized account access,
  • abusive conduct,
  • operational manipulation,
  • or misuse of payment infrastructure.

The platform may not be used for activities involving:

  • counterfeit products,
  • unlawful goods or services,
  • prohibited substances,
  • illegal gambling,
  • unauthorized weapons,
  • fraudulent schemes,
  • or any activity prohibited under applicable laws or PSP requirements.


5. Payment & Financial Restrictions

Users may not use the platform to:

  • process unauthorized financial transactions,
  • operate hidden payment flows,
  • bypass PSP compliance requirements,
  • misuse merchant onboarding processes,
  • facilitate unauthorized settlement activities,
  • or engage in prohibited payment-related conduct.

Restaurants/vendors remain responsible for maintaining lawful relationships with their respective payment service providers (PSPs).

KeynoBite does not permit use of the platform for unauthorized financial intermediary activities.


6. Account Integrity & Security

Users are responsible for:

  • maintaining account security,
  • protecting login credentials,
  • preventing unauthorized access,
  • and ensuring lawful use of platform access.

Users may not:

  • share unauthorized access credentials,
  • impersonate others,
  • create fraudulent accounts,
  • circumvent platform security controls,
  • or interfere with platform operations.


7. Merchant & Vendor Responsibilities

Restaurant Partners and merchants using KeynoBite must ensure:

  • accurate operational information,
  • lawful business conduct,
  • truthful pricing and product representation,
  • compliance with food safety obligations,
  • customer transparency,
  • and proper operational fulfillment.

Merchants may not:

  • manipulate customer transactions,
  • misrepresent products or pricing,
  • engage in fraudulent order activity,
  • or misuse operational workflows.


8. Platform Integrity & Abuse Prevention

Users may not:

  • overload platform systems,
  • disrupt platform availability,
  • interfere with operational workflows,
  • scrape platform content,
  • reverse engineer systems,
  • bypass security measures,
  • or use automated systems in an abusive or unauthorized manner.

KeynoBite reserves the right to monitor platform usage for:

  • fraud prevention,
  • abuse detection,
  • operational integrity,
  • security enforcement,
  • and compliance management.


9. Intellectual Property

Users may not:

  • copy,
  • reproduce,
  • distribute,
  • modify,
  • reverse engineer,
  • resell,
  • or commercially exploit

any part of the KeynoBite platform, software systems, branding, APIs, workflows, or intellectual property without authorization.

All intellectual property associated with the platform remains the property of KeynoBite or its licensors.


10. Third-Party Integrations

Where third-party integrations are enabled, users remain responsible for ensuring lawful and compliant usage of such integrations.

KeynoBite is not responsible for:

  • third-party operational failures,
  • external platform misuse,
  • or independent compliance obligations of third-party providers.

Users remain subject to the terms and policies of applicable third-party services.


11. Monitoring & Enforcement

KeynoBite reserves the right to:

  • monitor platform activity,
  • investigate suspicious conduct,
  • request additional verification,
  • restrict functionality,
  • suspend accounts,
  • disable integrations,
  • or terminate access

where misuse, fraud, unlawful conduct, or operational risk is identified.

KeynoBite may cooperate with:

  • PSP providers,
  • legal authorities,
  • regulators,
  • or applicable third parties

where reasonably necessary to protect platform integrity or comply with legal obligations.


12. Reporting Violations

Users are encouraged to report:

  • fraud,
  • abuse,
  • unauthorized activity,
  • security concerns,
  • or policy violations

13. Limitation of Liability

To the maximum extent permitted by applicable law, KeynoBite shall not be liable for:

  • unlawful conduct by users,
  • merchant operational failures,
  • third-party misuse,
  • platform abuse,
  • indirect damages,
  • or operational disruptions arising from unauthorized activity.

Users remain solely responsible for their own conduct and platform usage.


14. Changes to This Policy

KeynoBite may update this Policy periodically to reflect:

  • operational improvements,
  • legal requirements,
  • platform updates,
  • security enhancements,
  • or compliance developments.

Continued use of the platform constitutes acceptance of the revised Policy.
